These Terms and Conditions (“Terms”) govern your use of our website (www.pretium-inc.com), digital materials, and our programs, services, and products, including The Founder Workforce Blueprint™ (collectively, the “Services”). By accessing our website or enrolling in any of our programs, you agree to these Terms. Please read them carefully before using our Services. If you do not agree, please discontinue use of our site. 1. Company Information The Pretium Consultants Group, Inc. is a U.S.-based consulting firm providing workforce strategy, HR development, and business optimization services for startups and organizations. By using our site or enrolling in our programs, you confirm that you meet this age requirement and have the legal capacity to enter into these Terms. 3. Program Enrollment & Payment Terms Enrollment in The Founder Workforce Blueprint™ or any Pretium program requires acceptance of these Terms and the applicable payment agreement. A. Fees and Payment •The total tuition for The Founder Workforce Blueprint™ is $10,000 USD. •A $5,000 deposit is required to secure enrollment. The remaining $5,000 balance is due by November 16, 2025, the day before the program start date. •Payments are processed via secure third-party platforms (e.g., Stripe, PayPal, or Wix Payments). B. Refunds and Transfers Our refund and transfer policy is outlined below and in your enrollment agreement: •The $5,000 deposit is non-refundable but transferable once to a future cohort within 12 months, if notice is provided at least 7 days before the program start date. •The remaining $5,000 balance is refundable only if written notice of withdrawal is received by November 30, 2025 (after completion of the first two sessions). •After Week 2 or 14 days from program start, all payments become non-refundable. Full details can be found in our Refund Policy section or on your purchase agreement. 4. Intellectual Property All content, materials, templates, dashboards, videos, branding, and proprietary methods provided by Pretium during the program or on our website are the intellectual property of The Pretium Consultants Group, Inc. You are granted a limited, non-transferable license to use these materials for your internal business use only. You may not reproduce, sell, share, republish, or distribute any materials without prior written consent from Pretium. Violation of these intellectual property rights may result in legal action and termination of access to the Services. 5. Confidentiality Both parties agree to maintain the confidentiality of proprietary business and personal information shared during the course of the program. You acknowledge that Pretium may use aggregated and anonymized data for performance benchmarking and improvement purposes, but no confidential client data will ever be disclosed publicly. 6. Disclaimer of Warranties All Services, programs, and materials are provided on an “as is” and “as available” basis. We make no guarantees regarding business outcomes, financial results, or specific performance improvements. Success depends on your individual implementation, participation, and external business factors. Pretium disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. 7. Limitation of Liability To the fullest extent permitted by law: •Pretium and its officers, employees, and affiliates shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or goodwill, arising out of your use of our Services or inability to access them. •In all cases, our maximum liability shall not exceed the total amount you paid for the program or service in dispute. 8. Client Responsibilities By participating in our Services, you agree to: •Attend scheduled sessions or notify us in advance of cancellations. •Complete assigned tasks, assessments, and program deliverables. •Maintain professionalism, confidentiality, and respect within all community and group sessions. •Avoid recording or sharing program materials without written consent. Failure to uphold these expectations may result in removal from the program without refund. 9. Cancellations & Rescheduling Pretium reserves the right to reschedule sessions, modify delivery methods (e.g., virtual vs. in-person), or postpone program start dates as needed to ensure optimal quality and participation. Clients will be notified in advance. 10. Testimonials and Marketing Use By providing written or verbal feedback, testimonials, or results, you grant Pretium the right to use this information (with or without your first name and company name) for promotional purposes, unless you request otherwise in writing. 11. Privacy and Data Protection Your use of our website and Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. Termination Pretium reserves the right to terminate your access to the program or Services if you breach these Terms, misuse materials, or engage in conduct deemed disruptive, harmful, or unethical. 13. Governing Law These Terms shall be governed by and construed in accordance with the laws of the State of Indiana, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Lake County, Indiana. 14. Entire Agreement These Terms, along with your signed enrollment agreement and our Privacy Policy, constitute the entire agreement between you and The Pretium Consultants Group, Inc. regarding your use of the Services and supersede all prior understandings or agreements. 15. THE FOUNDER WORKFORCE BLUEPRINT™ ENROLLMENT AGREEMENT Presented by The Pretium Consultants Group, Inc. Effective Date: [Date of Signature] This Enrollment Agreement (“Agreement”) is entered into by and between: Client (“Participant”): ___________________________________________ Company Name: _______________________________________________ Email: ___________________________________________ Phone: ___________________________________________ and The Pretium Consultants Group, Inc. (“Pretium,” “we,” “us,” or “our”), a workforce strategy and HR consulting firm headquartered in Indiana, USA. 1. PROGRAM OVERVIEW The Founder Workforce Blueprint™ (“Program”) is a 6-week hybrid HR and workforce development program designed for startup founders and small business leaders. The Program includes: •Weekly 1:1 consulting sessions (via Zoom) •Weekly group strategy sessions •Access to templates, dashboards, and digital resources •A customized Workforce Development Action Plan •Email and Slack support during the program period Program Start Date: November 17, 2025 Program End Date: December 28, 2025 2. TUITION AND PAYMENT TERMS Total Program Tuition: $10,000 USD Payment Structure: •A $5,000 deposit is required to secure your seat. •The remaining $5,000 balance is due by November 16, 2025 (the day before the program start date). Payment may be made via Stripe, PayPal, or Wix Payments using the official Pretium checkout link or invoice provided. Failure to submit the final payment by the due date may result in suspension or removal from the Program without refund of prior payments. 3. REFUND & TRANSFER POLICY To ensure fairness and program integrity, the following policy applies: 1.Deposit Policy: The $5,000 deposit is non-refundable but transferable once to a future cohort within 12 months, if written notice is provided at least 7 days before the start date (by November 10, 2025). 2.Satisfaction Window: If, after completing the first two sessions, you feel the Program is not a fit, you may request a refund of the second $5,000 payment (excluding your initial deposit) by November 30, 2025. 3.Post-Week-2 Policy: After Week 2 or 14 days from the Program start (whichever comes first), all payments become non-refundable due to delivery of proprietary resources and materials. 4.Transfers: Participation may be deferred once to a future cohort within 12 months with written approval from Pretium. Refund requests must be submitted in writing to admin@pretium-inc.com. 4. CLIENT EXPECTATIONS The Participant agrees to: •Attend all scheduled live sessions (individual and group). •Complete assigned templates, assessments, and exercises. •Communicate proactively with the Pretium team regarding progress or scheduling needs. •Participate respectfully in group environments and uphold confidentiality. •Implement recommendations and actions outlined in the Program plan. Pretium reserves the right to remove participants for disruptive behavior, misuse of materials, or non-compliance with this Agreement. 5. COMPANY COMMITMENTS Pretium agrees to: •Provide live program facilitation and support according to the published curriculum. •Deliver access to templates, frameworks, and proprietary systems. •Maintain confidentiality of client data and discussions. •Respond to client inquiries within 1–2 business days during program duration. •Provide access to a private workspace or portal for materials and communications. 6. INTELLECTUAL PROPERTY All Program materials - including templates, dashboards, videos, documents, frameworks, and strategies - are the exclusive property of The Pretium Consultants Group, Inc. Participants receive a limited, non-transferable license to use these materials for internal business purposes only. Materials may not be copied, shared, sold, distributed, or used to create derivative products or services without written permission. 7. CONFIDENTIALITY Both parties agree to maintain confidentiality regarding all business, financial, and personal information shared throughout the Program. Pretium will not disclose client details publicly without consent, except as required by law. Group sessions may involve multiple founders; participants agree to respect all confidentiality obligations and refrain from sharing other participants’ information outside the Program environment. 8. DISCLAIMER OF GUARANTEES The Founder Workforce Blueprint™ is an educational and advisory program. While Pretium provides proven frameworks and professional expertise, we do not guarantee specific financial, operational, or performance results. Success depends on client implementation, participation, and external market factors. 9. LIMITATION OF LIABILITY To the fullest extent permitted by law, Pretium and its affiliates shall not be liable for indirect, incidental, or consequential damages, including loss of profits or data. In all cases, Pretium’s total liability under this Agreement shall not exceed the total amount paid by the Participant for the Program. 10. COMMUNICATIONS & MEDIA CONSENT By enrolling, you consent to receive program-related emails, updates, and administrative communications. You also grant Pretium limited permission to use anonymized testimonials or results for marketing purposes, unless otherwise requested in writing. 11. GOVERNING LAW This Agreement shall be governed by and construed in accordance with the laws of the State of Indiana, United States, without regard to conflict-of-law principles. Any disputes shall be resolved in the courts located in Lake County, Indiana. 12. ENTIRE AGREEMENT This document, together with Pretium’s Privacy Policy and Terms & Conditions, constitutes the entire understanding between the parties and supersedes all prior agreements, representations, or communications regarding the Program. 13. ACKNOWLEDGMENT AND SIGNATURES By signing below, the Participant acknowledges that they have read, understood, and agreed to all terms of this Enrollment Agreement. PAYMENT & REFUND POLICY Effective Date: October 2025 Applies to: The Founder Workforce Blueprint™ Issued by: The Pretium Consultants Group, Inc. (“Pretium”) 1. Overview This Payment & Refund Policy governs all payments, deposits, and tuition obligations associated with The Founder Workforce Blueprint™ (“Program”), offered by The Pretium Consultants Group, Inc. By enrolling in the Program or submitting payment, you agree to the following terms regarding fees, refunds, and transfers. 2. Program Tuition The total tuition for participation in The Founder Workforce Blueprint™ is $10,000 USD. This amount covers all consulting sessions, group coaching, digital templates, program materials, and participant support provided during the six-week cohort. 3. Payment Schedule Option 1 — Standard Payment Plan •Deposit: $5,000 USD due immediately upon enrollment to secure your seat. •Final Balance: $5,000 USD due by November 16, 2025, before the official start date of the cohort. Tuition payments must be made via one of the approved platforms: Stripe, Wix Payments, or PayPal (links provided upon enrollment). If the final payment is not received by the due date, Pretium reserves the right to remove the participant from the program without refund of any prior payments. 4. Founder Action Incentive (Optional Early Enrollment Bonus) Participants who submit their $5,000 deposit by 10/29/2025 will receive an early commitment discount of $1,000, reducing their total tuition to $9,000 USD. In this case: •$5,000 deposit due immediately •$4,000 balance due by November 16, 2025 All other terms in this policy remain unchanged. 5. Payment Methods Pretium accepts the following payment methods: •Credit or debit card (via Stripe, Wix Payments, or PayPal) •ACH transfer (by request) •Corporate or business card payments Payments must be completed in full before accessing proprietary materials, templates, or private sessions. All prices are listed in U.S. dollars (USD) and are subject to any applicable taxes or processing fees determined by the payment platform. 6. Refund Policy We stand behind the quality of our consulting and education programs while maintaining fairness and transparency. The following refund terms apply specifically to The Founder Workforce Blueprint™: A. Deposit Policy •The initial $5,000 deposit is non-refundable, as it secures your reserved seat and triggers immediate access to onboarding and preparation materials. •However, the deposit is transferable once to a future cohort within 12 months if written notice is provided at least 7 days before the start date (by November 10, 2025). B. Conditional Refund Policy We offer a two-session satisfaction window: •If, after completing the first two sessions, you believe the Program is not the right fit, you may request a refund of the final $5,000 payment (or $4,000 if early incentive applied). •To qualify, you must submit a written request no later than November 30, 2025, along with confirmation of your completed sessions. After this date, no refunds will be issued. C. Non-Refundable Period After Week 2 (or 14 calendar days from the official start date, whichever occurs first), all payments become non-refundable. At this stage, participants receive full access to proprietary systems, templates, and frameworks that cannot be revoked or returned. 7. Transfers and Deferrals If a Participant cannot attend the current cohort due to unforeseen circumstances, Pretium allows a one-time deferral to a future cohort within 12 months, subject to availability. Written notice must be submitted to admin@pretium-inc.com prior to the start of the current cohort. Transferred participants will retain access to previously delivered materials and remain bound by this policy. 8. Late or Failed Payments If a scheduled payment fails or a balance remains unpaid by the due date: •Access to the Program and materials may be temporarily suspended until payment is received. •Continued non-payment beyond 5 days from the start date (November 17, 2025) may result in permanent removal from the Program without refund. 9. Cancellations by Pretium In the rare event Pretium must cancel or reschedule the cohort for business or operational reasons, all affected participants will be offered one of the following options: •Full refund of payments made, or •Transfer to the next available cohort at no additional charge. Pretium is not liable for any indirect or consequential costs incurred by participants as a result of schedule adjustments. 10. No Chargebacks By enrolling, you agree that chargebacks or payment disputes initiated through your financial institution are a violation of this policy. Participants agree to resolve any billing concerns directly with Pretium via admin@pretium-inc.com before initiating third-party action. 11.
